1. Acceptance of Terms
By accessing or using the Billvend platform — including our website, mobile application, and all related services (collectively, the "Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not access or use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and the operator of Billvend ("Company," "we," "us," or "our"). You represent and warrant that you have the legal capacity to enter into this agreement.
2. Definitions
- "Wallet" means the digital account assigned to each User for holding funds, denominated in Nigerian Naira (NGN), from which transactions are debited.
- "Transaction" means any operation involving the movement of funds, including but not limited to wallet funding, airtime purchase, data subscription, bill payment, airtime-to-cash conversion, and flight booking.
- "Service Provider" means any third-party entity (telecommunications networks, electricity distribution companies, cable TV providers, examination bodies, airlines) to which we facilitate payments on your behalf.
- "Processing" means the period during which a Transaction is being executed but has not yet reached a final state.
3. Description of Service
Billvend provides a digital wallet and bill payment platform that enables Users to:
- Fund a digital wallet via bank transfer, debit card, or other approved payment methods;
- Purchase airtime and data bundles for Nigerian mobile networks;
- Pay electricity bills across all Nigerian distribution companies;
- Purchase examination pins (WAEC, NECO, JAMB);
- Renew cable TV subscriptions (DSTV, GOtv, Startimes);
- Convert airtime to cash;
- Book local and international flights.
We act as an intermediary between you and the relevant Service Providers. We do not guarantee the uninterrupted availability of any Service Provider's network or platform.
4. Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement under the laws of the Federal Republic of Nigeria to use the Service. By registering, you represent and warrant that you meet these requirements. We reserve the right to request proof of age and identity at any time and to suspend or terminate accounts that do not meet eligibility criteria.
5. Account Registration and Security
- You must provide accurate, current, and complete information during registration and keep such information updated at all times.
- You are solely responsible for maintaining the confidentiality of your account credentials, including your password, PIN, and any two-factor authentication codes.
- You are fully and solely responsible for all activities that occur under your account, whether authorised by you or not.
- You must notify us immediately of any unauthorised use of your account or any other breach of security. We shall not be liable for any loss or damage arising from your failure to comply with this obligation.
- We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, without prior notice or liability.
- You may not create more than one account without our express written permission. Creating multiple accounts to circumvent transaction limits or exploit promotions is strictly prohibited.
6. Wallet Terms
6.1 Nature of Wallet
Your Wallet is a digital representation of funds held on your behalf. All Wallet balances are denominated in Nigerian Naira (NGN) and stored in the least currency unit (kobo).
6.2 Wallet Funding
You may fund your Wallet through approved payment channels, including bank transfer and debit card payments. Funds are credited upon successful verification of payment receipt. We are not responsible for delays caused by your bank, payment processor, or intermediary financial institution.
6.3 No Interest
Wallet balances do not earn interest. Funds held in your Wallet are not deposits and are not insured by the Nigeria Deposit Insurance Corporation (NDIC).
6.4 Withdrawal
You may withdraw Wallet funds to your registered bank account at any time, subject to any minimum withdrawal limits and identity verification requirements. Withdrawals are processed within a reasonable timeframe and may be subject to processing fees as displayed at the time of withdrawal.
6.5 Negative Balances
You shall not permit your Wallet to go into a negative balance. In the event a negative balance occurs due to a technical error, chargeback, or reversal, you agree to promptly fund your Wallet to cover the deficit. We reserve the right to recover any negative balance through any lawful means, including offsetting against future credits to your Wallet.
7. Transaction Terms
7.1 Transaction Processing
Each Transaction goes through defined states: Pending, Processing, Completed, Failed, or Refunded. A Transaction is not deemed complete until it reaches the Completed state. We shall not be held liable for the time a Transaction spends in any intermediate state, provided we process it within a commercially reasonable timeframe.
7.2 Transaction Limits
We may impose minimum and maximum transaction amounts, daily transaction limits, and cumulative limits at our discretion. These limits may be adjusted from time to time without prior notice. Limits are displayed during the transaction process where applicable.
7.3 Accuracy of Information
You are solely responsible for ensuring the accuracy of all transaction details, including but not limited to phone numbers, meter numbers, smart card numbers, examination details, and flight information. We shall not be liable for losses arising from incorrect information provided by you.
7.4 Failed Transactions
If a Transaction fails for reasons attributable to us or our systems, we will reverse the debited amount to your Wallet within a reasonable timeframe. If a Transaction fails due to reasons beyond our reasonable control (including but not limited to Service Provider downtime, network congestion, or incorrect user information), we shall attempt to resolve the issue but do not guarantee success or a specific resolution time.
8. Specific Service Terms
8.1 Airtime and Data
Airtime and data purchases are subject to the terms and conditions of the respective mobile network operators (MTN, Airtel, Glo, T2Mobile). Delivery times are estimates and may vary due to network conditions. We do not guarantee specific delivery times.
8.2 Electricity Payments
Electricity payments are processed through the relevant electricity distribution company (DisCo). Token generation is subject to the DisCo's systems. We are not responsible for token expiry, meter compatibility issues, or delays caused by the DisCo.
8.3 Examination Pins
Examination pins are issued by the respective examining bodies. Once a pin has been delivered and viewed, it cannot be refunded or exchanged. You are responsible for safeguarding your pin after delivery.
8.4 Cable TV
Cable TV subscription renewals are processed through the relevant provider. Reactivation times depend on the provider's systems. We do not guarantee instant reactivation.
8.5 Airtime to Cash
Airtime-to-cash conversion is subject to availability and network operator policies. Only purchased or received airtime (real credit) is eligible for conversion. Bonus airtime, promotional credit, and airtime obtained through any unauthorised means cannot be converted. Conversion rates are displayed before each transaction and are subject to change without prior notice. The rate displayed at the time of your transaction applies to that transaction.
8.6 Flight Booking
Flight bookings are subject to the terms and conditions of the respective airline. Cancellation, rescheduling, and baggage policies are determined by the airline, not by us. You are advised to review the airline's terms before booking.
9. Fees and Charges
We charge fees for certain services as displayed at the point of transaction. All fees are denominated in Nigerian Naira (NGN). We reserve the right to introduce new fees or modify existing fees at any time upon reasonable notice. Continued use of the Service after fee changes constitutes acceptance of the revised fees. All fees are non-refundable unless otherwise stated in these Terms or required by applicable law.
10. Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws, regulations, or ordinances;
- Use the Service to facilitate money laundering, terrorist financing, fraud, or any other financial crime;
- Attempt to fund your Wallet using stolen, fraudulent, or unauthorised payment instruments;
- Convert or attempt to convert stolen, fraudulent, or unauthorised airtime;
- Interfere with, disrupt, or attempt to gain unauthorised access to the Service, our servers, or our networks;
- Use any automated means, including bots, scripts, or scrapers, to access or interact with the Service;
- Engage in any activity that manipulates, exploits, or circumvents our fee structure, transaction limits, or security measures;
- Submit false, misleading, or fraudulent information at any time;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
- Use the Service to harass, abuse, or harm other persons;
- Resell, redistribute, or commercialise any service obtained through the platform without our express written consent;
- Reverse-engineer, decompile, or disassemble any aspect of the Service.
11. Intellectual Property
The Billvend name, logo, domain name, website design, mobile application, source code, database structure, and all content, features, and functionality associated with the Service are and shall remain the exclusive intellectual property of the Company and its licensors. These Terms do not grant you any right, title, or interest in or to any of our intellectual property. You may not copy, modify, distribute, sell, lease, create derivative works from, or otherwise exploit any part of the Service without our express prior written consent.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
- In no event shall the Company, its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages.
- The Company's total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the total amount of the specific Transaction giving rise to the claim, or the sum of Ten Thousand Naira (₦10,000), whichever is greater.

We shall not be liable for any loss or damage arising from:
- Service Provider outages, downtime, or system failures;
- Bank processing delays, payment gateway failures, or intermediary financial institution actions;
- Incorrect information provided by you;
- Force majeure events as defined in Section 19;
- Unauthorised access to your account resulting from your failure to secure your credentials;
- Any act or omission of third parties not under our direct control.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, agents, affiliates, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Service;
- Your violation of these Terms or any applicable law;
- Your violation of any third-party right, including any intellectual property right or privacy right;
- Any fraudulent, negligent, or wilful misconduct by you;
- Any claim that information you submitted caused damage to a third party.
This indemnification obligation shall survive the termination of these Terms and your use of the Service.
14. Account Suspension and Termination
We reserve the right, at our sole discretion and without prior notice or liability, to:
- Suspend or terminate your account and your access to the Service;
- Withhold, freeze, or forfeit Wallet balances pending investigation;
- Report suspicious activity to relevant law enforcement or regulatory authorities.
Grounds for suspension or termination include, but are not limited to:
- Violation of these Terms;
- Suspected fraudulent, unlawful, or unauthorised activity;
- Compliance with law enforcement, regulatory, or court orders;
- Extended account inactivity;
- Provision of false or misleading information.
Upon termination, any remaining Wallet balance shall be paid out to your registered bank account within a reasonable timeframe, subject to deduction of any outstanding fees or charges owed to us and subject to satisfactory completion of all required identity verification and anti-fraud checks. We reserve the right to withhold payout if we have reasonable grounds to suspect fraudulent or unlawful activity.
15. Refund Policy
Refunds, where applicable, are governed by the following principles:
- If a Transaction fails due to a technical error on our part, the debited amount shall be refunded to your Wallet within a reasonable timeframe.
- If a Transaction fails due to Service Provider issues, we shall make reasonable efforts to resolve the matter but do not guarantee a refund.
- Refunds are not available for Transactions that fail due to incorrect information provided by you.
- Refunds are not available for change of mind after a successful Transaction.
- Once an examination pin has been delivered and viewed, it is non-refundable under any circumstances.
- Flight booking refunds are subject to the cancellation policy of the respective airline.
- All refund requests must be submitted within 7 days of the Transaction date with supporting documentation (Transaction ID, date, amount, and description of the issue).
16. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and safeguard your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by this reference.
17. Third-Party Services and Links
The Service may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of or reliance on any third-party content, goods, or services.
18. Modifications to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be communicated to you via email to the address associated with your account or through a prominent notice on the Service. It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately cease using the Service.
19. Force Majeure
We shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, epidemic or pandemic, labour disputes, utility or telecommunications failures, internet outages, network operator failures, bank system failures, and regulatory changes.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
20.2 Negotiation
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties shall first attempt to resolve the matter through good-faith negotiations. The complaining party shall provide written notice to the other party detailing the nature of the dispute and the desired resolution.
20.3 Mediation
If the dispute is not resolved through negotiation within 30 days of the written notice, either party may refer the dispute to mediation administered by the Lagos Multi-Door Courthouse (LMDC) or a mutually agreed mediator. Each party shall bear its own costs of mediation.
20.4 Jurisdiction
If the dispute remains unresolved after mediation, the parties hereby submit to the exclusive jurisdiction of the courts of competent jurisdiction in Lagos State, Nigeria.
20.5 Class Action Waiver
To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
21. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and the Company concerning the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the subject matter hereof.
22. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity of any other provision.
23. Waiver
No waiver of any term, provision, or condition of these Terms shall be deemed a further or continuing waiver of such term, provision, or condition, or a waiver of any other term, provision, or condition. Any failure by us to assert a right or enforce a provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorised representative of the Company.
24. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or delegate our rights and obligations under these Terms, in whole or in part, at any time without notice or consent. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
